Introduction
These terms and conditions ("Agreement") govern the use of the Azenzus Vision Software as a Service solution ("Service"), registered in Denmark by Azenzus Vision ApS ("Provider") by the user of the Service ("Customer").Use of the Service
The Service is provided to the Customer on a subscription basis for the term of this Agreement. The Customer agrees to use the Service in accordance with the terms and conditions set out in this Agreement.Subscription and Payment
The Customer will subscribe to the Service by completing the online registration process and agreeing to these terms and conditions. The Customer agrees to pay the fees specified in the order form or subscription agreement for the use of the Service. Payment must be made in full within 30 days of invoice date.Proprietary Rights
The Provider retains all proprietary rights in and to the Service and all intellectual property rights relating to the Service. The Customer acknowledges and agrees that it does not have any rights to the Service except as expressly set forth in this Agreement.Confidentiality
The Provider and the Customer acknowledge and agree that during the course of this Agreement, they may have access to and receive certain confidential information of the other party. Each party agrees to keep such confidential information confidential and not to disclose it to any third party, except as required by law.Data Protection
The Provider will comply with all applicable data protection laws and regulations in relation to the Customer’s personal data. The Customer acknowledges and agrees that the Provider may collect, process, and use personal data in connection with the provision of the Service.Warranty and Limitation of Liability
The Provider warrants that the Service will be provided with reasonable care and skill. The Provider will not be liable for any loss or damage suffered by the Customer as a result of any interruption, suspension or termination of the Service, or any delay or failure to perform its obligations under this Agreement.Service Commitment
The Provider will use commercially reasonable efforts to make cloud services available with a Monthly Uptime Percentage of at least 99.95%, in each case during any monthly billing cycle. The Service Commitment does not apply to any unavailability, suspension or termination of service, or any other performance issues: (i) that result from a account suspension; (ii) caused by factors outside of our reasonable control, including any force majeure event or Internet access or related problems; (iii) that result from your equipment, software or other technology and/or third party equipment, software or other technology; (iv) that result from any required maintenance; or (v) arising from our suspension and termination of your right to use the service.Termination
Either party may terminate this Agreement on written notice to the other party in the event of a material breach of this Agreement. Upon termination, the Customer shall immediately cease using the Service.Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of Denmark. The parties agree to submit to the exclusive jurisdiction of the courts of Denmark in relation to any dispute arising under or in connection with this Agreement.Amendments
The Provider reserves the right to modify these terms and conditions at any time. The Customer will be notified of any such changes and will be required to agree to the updated terms and conditions before continuing to use the Service.
